Disposal of Partnership Interests. EOPT will not directly or indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its partnership interests in Borrower or any of its equity interest in any of the partners of the Borrower as of the date hereof (except in connection with the dissolution or liquidation of such partners of the Borrower), except for the reduction of EOPT’s interest in the Borrower arising from Borrower’s issuance of partnership interests in the Borrower or the retirement of preference units by Borrower. EOPT will continue to be the sole general partner of Borrower.
Disposal of Partnership Interests. EQR will not directly or indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its partnership interests in Borrower, except for the reduction of EQR’s interest in the Borrower arising from Borrower’s issuance of partnership interests in the Borrower or the retirement of preference units by Borrower.

Except as permitted under Section 8.02(c)(vi)(4) or as contemplated by Section 3.8 of Borrower's partnership agreement, the REIT will not directly or indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its interests in MHC Trust or Borrower.

AMB will not directly or indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its partnership interests in AMB LP or any of its equity interest in any of the partners of AMB LP as of the date hereof (except in connection with the dissolution or liquidation of such partners of AMB LP or the redemption of interests in connection with stock repurchase programs), except for the reduction of AMB’s interest in AMB LP arising from AMB LP’s issuance of partnership interests in AMB LP or the retirement of preferred units by AMB LP. AMB will continue to be the managing general partner of AMB LP.

EOPT will continue to be the managing general partner of Borrower and of each Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership, Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership II, Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership III, and Zell/Xxxrxxx Xxxcx Xxxl Estate Opportunity Partners Limited Partnership IV, and will not permit such Persons to sell, transfer, assign, pledge or otherwise encumber or dispose of any of their respective partnership interests in the Borrower, except for the reduction of such partners' interest in the Borrower arising from the Borrower's issuance of partnership interests in the Borrower or the retirement of preference units by the Borrower and except in connection with the dissolution or liquidation of such partners.

CESRRI will not directly or --------------------------------- indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its partnership interests in Borrower, except for the reduction of CESRRI's interest in the Borrower arising from Borrower's issuance of partnership interests in the Borrower or the retirement of preference units by Borrower, and except for the redemption of OP Units in connection with the repurchase or redemption of stock by CESRRI.
Disposal of Partnership Interests. CESRRI will not --------------------------------- directly or indirectly convey, sell, transfer, assign, pledge or otherwise encumber or dispose of any of its partnership interests in Borrower or any of its stock, partnership or other interests in any of its wholly-owned subsidiaries which own interests in any Wholly-Owned Consolidated Subsidiary which is the owner of one or more Qualifying Unencumbered Properties or which is the owner of any Lien described in subparagraph h of the definition of "Permitted Liens", except for the reduction of CESRRI's interest in the Borrower arising from Borrower's issuance of partnership interests in the Borrower or the retirement of preference units by Borrower, and except for the redemption of OP Units in connection with the repurchase or redemption of stock by CESRRI.
