Preferred Units. Without the consent of any Common Unitholder and notwithstanding anything herein to the contrary, the Board may cause the Company to issue one or more series of Preferred Units, which Preferred Units would have rights senior to those of the Common Units, and such other characteristics as the Board may determine, but, for so long as the Company operates as a closed-end management investment company, in a manner that complies with the legal requirements applicable to a closed-end management investment company. Prior to the issuance of a series of Preferred Units, the Board shall set the terms, preferences, conversion or other rights, voting powers, restrictions, limitations as to distributions, qualifications and terms or conditions of redemption.
Preferred Units. Notwithstanding anything to the contrary, the provisions of Section 14.3 are not applicable to Preferred Units or the holders of Preferred Units. Holders of Preferred Units shall have no voting, approval or consent rights under this Article XIV. Voting, approval and consent rights of holders of Preferred Units shall be solely as provided for and set forth in Article XVI.
Preferred Units. From and after the date hereof the Partnership shall be authorized to issue Partnership Units of a new series, which Partnership Units are hereby designated as "Series C-1 Preferred Units". Series C-1 Preferred Units shall have the terms set forth in Exhibit K attached hereto and made part hereof."
Preferred Units. If the Partnership gives a notice of redemption in respect of Series D-14 Preferred Units pursuant to this Section D(ii), then, by 12:00 noon, New York City time, on the Third Party Redemption Date, the Partnership will deposit irrevocably in trust for the benefit of the holders of Series D-14 Preferred Units being redeemed funds sufficient to pay the applicable amount payable with respect to such Series D-14 Preferred Units and will give irrevocable instructions and authority to pay such amount to the holders of the Series D-14 Preferred Units upon surrender of the Series D-14 Preferred Units by such holders at the place designated in the notice of redemption.
Preferred Units. Holders of Preferred Units shall have no voting, approval or consent rights under this Article XIII. Voting, approval and consent rights of holders of Preferred Units shall be solely as provided for and set forth in Article XVI.
Preferred Units. The General Partner shall amend this agreement from time to time to reflect the allocation of profit and loss in connection with priority distributions on any preferred units of limited partnership interest issued by the Partnership.
Preferred Units. The Series B Preferred Units, Series D Preferred Units, and Series E Preferred Units and Series F Preferred Units have been established and have the rights, preferences, limitations and qualifications as are described in Schedule A, Schedule B, Schedule C and Schedule D, respectively, in addition to the applicable rights and preferences contained herein.
Preferred Units. The term “Preferred Units” shall have the meaning set forth in the preface.
Preferred Units. Notwithstanding anything to the contrary, holders of a class or series of Preferred Units shall have no voting, approval or consent rights under this Article XI, except as may be specified in the Unit Designation related to such class or series of Preferred Units.
Preferred Units. Notwithstanding anything to the contrary set forth herein, in no event shall a Holder of a Series C Preferred Unit that was validly exchanged for Series C Preferred Shares pursuant to this Section (other than the General Partner holding such Series C Preferred Unit following any such exchange), receive a distribution out of Available Cash of the Partnership, if such Holder, after exchange, is entitled to receive a distribution with respect to the Series C Preferred Shares for which such Series C Preferred Unit was exchanged or redeemed. Further for purposes of the foregoing, in the event of an exchange of Series C Preferred Units for Series C Preferred Shares, if the accrued and unpaid distributions per Series C Preferred Unit is not the same for each Series C Preferred Unit, the accrued and unpaid distributions per Series C Preferred Unit for each such Series C Preferred Unit shall be equal to the greatest amount of such accrued and unpaid distributions per Series C Preferred Unit on any such unit.
