Discharge of the Sellers' Obligations. The Sellers and the Buyer agree, from and after the Closing Date, to duly pay, satisfy and discharge any and all valid claims, debts, liabilities and all obligations existing prior to the Closing Date that are not Assumed Liabilities with respect to the Acquired Business, in the case of the Sellers, and that are Assumed Liabilities with respect to the Acquired Business, in the case of the Buyer, to their respective creditors, as the same become due and payable; it being understood, however, that the Sellers and the Buyer, respectively, reserve the right to contest or settle the same when they determine, in their reasonable judgment, that it is appropriate to do so.
