Directors and Officers of Merger Sub. The directors of Merger Sub immediately prior to the Effective Time shall be the initial directors of the Surviving Corporation, each to hold office in accordance with the Articles of Incorporation and Bylaws of the Surviving Corporation, and the officers of Merger Sub immediately prior to the Effective Time shall be the initial officers of the Surviving Corporation, in each case until their respective successors are duly elected or appointed and qualified.
Directors and Officers of Merger Sub. From and after the Effective Time, (a) the directors of Merger Sub immediately prior to the Effective Time shall be the directors of the Surviving Corporation until their respective successors have been duly elected or appointed and qualified or until their earlier resignation, removal, or death and (b) the officers of Xxxxxx Sub immediately prior to the Effective Time shall be the officers of the Surviving Corporation until their respective successors have been duly elected or appointed and qualified or until their earlier resignation, removal, or death.
Directors and Officers of Merger Sub. The directors of Merger Sub immediately prior to the Effective Time shall be the initial directors of the Surviving Corporation, each to hold office in accordance with the Certificate of Incorporation and Bylaws of the Surviving Corporation, and the officers of the Company immediately prior to the Effective Time shall be the initial officers of the Surviving Corporation, in each case until their respective successors are duly elected or appointed and qualified, and the Managers of the Second Acquisition Subsidiary immediately prior to the Second Step Merger shall be the initial managers of the surviving limited liability company, each to hold office in accordance with the LLC Agreement, and the officers of the Second Acquisition Subsidiary immediately prior to the Second Step Merger shall be the initial officers of the surviving limited liability company, in each case until their respective successors are duly elected or appointed and qualified.
Directors and Officers of Merger Sub. At the Effective Time, the directors and officers of Merger Sub shall become directors and officers of the Surviving Corporation.
Directors and Officers of Merger Sub. On the Effective Date, the directors of Merger Sub elected and holding office immediately prior to the Effective Date shall become and be directors of Merger Sub, as the surviving company in the Merger, and the officers of Merger Sub duly elected and holding office immediately prior to the Effective Date shall become and be officers of Merger Sub as the surviving company in the Merger, each to hold office until his or her successor is elected and qualified or otherwise in accordance with the operating agreement of Merger Sub, as the surviving company in the Merger.
