A direct assignment clause allows one party to transfer its rights or obligations under a contract to another party without requiring the consent of the original counterparty. In practice, this means that if a company sells a business unit, it can assign its contractual interests directly to the buyer, who then steps into the assignor’s position. This clause streamlines the process of transferring contractual relationships, ensuring continuity and reducing administrative hurdles when ownership or responsibility changes hands.
Direct assignment. Employees shall be eligible for direct assignment from the time they receive a notice of layoff until either a) the expiration of recall rights, b) the time they accept pay in lieu, or c) the time they exercise bumping rights;

Direct assignment. To secure the right of the Corporation to receive the Death Benefit pursuant to Section 8.a. hereinbelow, the Employee has assigned, or shall contemporaneously with the execution of this Agreement assign, the Death Benefit to the Corporation via direct assignment, by properly executing the Assignment. The Assignment shall not be terminated, altered or amended by the Employee, without the prior written consent of the Corporation. The parties agree to take all actions necessary to cause the Assignment to conform to the provisions of this Agreement.
