Devolución de la Información Confidencial. A petición escrita de la Parte Reveladora, el Receptor devolverá, eliminará o destruirá de inmediato, a su elección, toda la Información Confidencial de la Parte Reveladora (incluidas, sin limitación, las copias entregadas o hechas por el receptor, independientemente del medio en que se ha gan); queda entendido, sin embargo que, con sujeción a las condiciones de este Acuerdo, el Receptor (i) tendrá derecho a conservar una copia de archivo de esa Información Confidencial a efectos de determinar sus obligaciones en el marco de este Acuerdo; y (ii) no estará obligado a destruir archivos informáticos conservados de manera segura por los Receptores o sus Filiales, que hayan sido creados como copias de seguridad automáticas o conservados para fines legales, por la división jurídica del Receptor y sus Filiales, teniendo en cuenta que esa Información Confidencial seguirá sujeta a los términos de este Acuerdo. Aún si el Receptor devuelve o destruye la Información Confidencial, éste seguirá obligado a cumplir su obligación de confidencialidad y no uso prevista en este Acuerdo. 10.4.

Devolución de la Información Confidencial. Un Embajador debe devolver toda la Información confidencial, incluida la información derivada de ella, sobre la que tenga control directo o indirecto a la Compañía en el momento de rescisión o cuando la Compañía lo solicite. Si tal Información confidencial no se puede devolver porque está en formato electrónico, el Embajador deberá eliminar y borrar de forma permanente la Información confidencial en el momento de rescisión o cuando se le solicite.

  • Information Confidential As partial consideration for the granting of the Award hereunder, you hereby agree to keep confidential all information and knowledge, except that which has been disclosed in any public filings required by law, that you have relating to the terms and conditions of this Agreement; provided, however, that such information may be disclosed as required by law and may be given in confidence to your spouse and tax and financial advisors.   • E4 Confidential Information E4.1 Except to the extent set out in this clause or where disclosure is expressly permitted elsewhere in this Contract, each Party shall:

  • Prime Confidential Information The following shall constitute Confidential Information of the Contractor and should not be disclosed to third (3rd) parties: the deliverables, discoveries, ideas, concepts, software [in various stages of development], designs, drawings, specifications, techniques, models, data, source code, source files, object code, documentation, diagrams, flow charts, research, development, processes, procedures, “know-how”, marketing techniques and materials, marketing and development plans, customer names and other information related to customers, price lists, pricing policies and financial information, this Agreement and the existence of this Agreement, the relationship between the Contractor and Subcontractor, and any details of the Service under this Agreement. Subcontractor agrees not to use or reference the Contractor and/or their names, likenesses, or logos (“Identity”). Subcontractor will not use or reference Contractor or their Identity, directly or indirectly, in conjunction with any other third (3rd) parties.

  • Access to Confidential Information Each party acknowledges that the other party, its employees or agents, may be given access to Confidential Information relating to the other parties' business or the operation of this Agreement or any negotiations relating to this Agreement.

  • Maintaining Confidential Information Executive reaffirms his obligations under the Confidentiality Agreement. Executive acknowledges and agrees that the payments provided in Section 3 above shall be subject to Executive’s continued compliance with Executive’s obligations under the Confidentiality Agreement.

Once Contractor has received written confirmation from City that Confidential Information has been successfully transferred to City, Contractor shall within ten (10) business days purge all Confidential Information from its servers, any hosted environment Contractor has used in performance of this Agreement, work stations that were used to process the data or for production of the data, and any other work files stored by Contractor in whatever medium. Contractor shall provide City with written certification that such purge occurred within five (5) business days of the purge.

  • Non-Confidential Information The term “Confidential Information” shall not include any information which: (i) is in the public domain at the time of disclosure or enters the public domain following disclosure through no fault of the receiving Party, (ii) the receiving Party, through competent evidence, can demonstrate knowledge prior to disclosure, (iii) is disclosed to the receiving Party by a third party legally entitled to make such disclosure without violation of any obligation of confidentiality or (iv) is independently developed by the receiving Party without reference to the disclosing Party’s Confidential Information as evidenced by the written records of the receiving Party.

  • - CLEC INFORMATION CLEC agrees to work with Qwest in good faith to promptly complete or update, as applicable, Qwest’s “New Customer Questionnaire” to the extent that CLEC has not already done so, and CLEC shall hold Qwest harmless for any damages to or claims from CLEC caused by CLEC’s failure to promptly complete or update the questionnaire.

  • Listing Information Confidentiality BellSouth will accord <<customer_name>>’s directory listing information the same level of confidentiality that BellSouth accords its own directory listing information, and BellSouth shall limit access to <<customer_name>>’s customer proprietary confidential directory information to those BellSouth employees or agents who are involved in the preparation of listings or directories.
