Common use of Development Clause in Contracts

Development. (A) If the Operating Committee determines that a Discovery may be a Commercial Discovery, Operator shall, as soon as practicable, deliver to the Parties a Development Plan together with the first annual Work Program and Budget (or a multi-year Work Program and Budget pursuant to Article 6.5) and provisional Work Programs and Budgets for the remainder of the development of the Discovery, which shall contain, inter alia: (1) details of the proposed work to be undertaken, personnel required and expenditures to be incurred, including the timing of same, on a Calendar Year basis; (2) an estimated date for the commencement of production; (3) a delineation of the proposed Exploitation Area; and (4) any other information requested by the Operating Committee. (B) After receipt of the Development Plan and prior to any applicable deadline under the Contract, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program and Budget for the development of a Discovery, as submitted by Operator. If the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development Plan, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract and take such other steps as may be required under the Contract to secure approval of the Development Plan by the Government. In the event the Government requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st Day of October of each Calendar Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submission, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

Development. If the Operating Committee determines that Development Plan is approved by the Discovery is a Commercial Discovery and approves the corresponding Development PlanOperations Management Board, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract and take such other steps as may be required under the Contract to secure approval of the Development Plan by the GovernmentState. In the event the Government State requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee Operations Management Board for further consideration. (Cc) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st first Day of October November of each Calendar Year submit a Work Program and Budget for the Exploitation Concession Area, for the following Calendar Year. Subject to Article 6.5, within thirty (30) .Within forty five Days after such submissionsubmittal, the Operating Committee Operations Management Board shall endeavor endeavour to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

(C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st ninetieth (90th) Day of October before the last day of each Calendar Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

Development. (Bb) After receipt of the Development Plan and prior to any applicable deadline under the ContractLease, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program and Budget for the development of a Discovery, as submitted by Operatorthe Joint Operating Team. If the Development Plan is approved by the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development PlanCommittee, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract Lease and take such other steps as may be required under the Contract Lease to secure approval of the Development Plan by the Government. In the event the Government requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (Cc) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator the Service Provider shall, on or before the 1st 15th Day of October August of each Calendar Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submissionNot later than the 15th Day of August of each Calendar Year, the Operating Committee shall endeavor endeavour to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

Development. (A) If If, before or after the drilling of any Mandatory Appraisal ▇▇▇▇▇, the Operating Committee determines that a Discovery may be a Commercial Discovery, Discovery the Operator shall, as soon as practicablepracticable but prior to providing notice of the Commercial Discovery to EGPC, deliver to the Parties a Development Plan together with the first annual Work Program and Budget (or a multi-year Work Program and Budget pursuant to Article 6.5) and provisional Work Programs and Budgets for the remainder of the development of the Discovery, which shall contain, inter aliaINTER ALIA: (1) details of the proposed work to be undertaken, personnel required and expenditures to be incurred, including the timing of same, on a Calendar Year basis; (2) an estimated date for the commencement of production; (3) a delineation of the proposed Exploitation AreaDevelopment Lease; and (4) any other information requested by the Operating Committee. (B) After Within thirty (30) days of receipt of the Development Plan and prior to any applicable deadline to file for a Commercial Discovery under the ContractConcession Agreement, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program and Budget for the development of a Discovery, as submitted by OperatorPlan. If the Development Plan is approved by the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development PlanCommittee, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract and take to EGPC. Within sixty (60) Days following receipt of such other steps as may be required under the Contract to secure approval of the Development Plan notice by the GovernmentGovernment and EGPC, Operator and EGPC shall meet to review all appropriate data with a view to agreeing on the existence of a Commercial Discovery. In the event If EGPC or the Government requires require changes in the Development Plan, Operator shall resubmit the matter shall be resubmitted to the Operating Committee for further consideration. (C) If review and approval. Upon EGPC's agreement that the Development Plan is approved, such work Discovery constitutes a Commercial Discovery under the Concession the Operating Company contemplated in Article VI of the Concession shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st Day of October of each Calendar Year submit a Work Program and Budget formed for the Exploitation Area, for purposes of conducting further operations and activities under the following Calendar YearConcession. Subject to Article 6.5, within thirty (30) Days after such submission, the Alliance Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.Agreement - 20F

If the Development Plan is approved by the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development PlanCommittee, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract License and take such other steps as may be required under the Contract License to secure approval of the Development Plan by the Government. In the event the Government requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further considerationconsideration and a decision shall be reached by the Operating Committee within thirty (30) days of the date of submittal. (C) 9.2.3 If the Development Plan is approved, such work shall be incorporated into and form part of the annual Work Programs and Budgets, and Operator shall, on or before the 1st 15th Day of October November of each Calendar Year submit a Work Program and Budget for the Exploitation AreaProduction Lease, for the following Calendar Year. Subject to Article 6.5, Year except in the initial year of this Agreement the Program and Budget shall be submitted within thirty (30) Days days of the execution of this Agreement. Within sixty (60) days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.. Any items of infrastructure costs in a Program and Budget, such as roads, living facilities or tank farms may be approved, in part, and rejected, in part, by vote of the Operating Committee

If the Operating Committee determines that a Discovery may be a Commercial Discovery, Operator shall, shall as soon as practicable, deliver practicable submit to the Parties Concessionaires a Development Plan together with the first annual Work Program work programme and Budget budget (or a multi-year Work Program multiyear work programme and Budget budget pursuant to Article 6.57.5) and provisional Work Programs work programmes and Budgets budgets for the remainder of the development activities related to the Development of the Discovery, which shall contain, inter alia: (1) details : Details of the proposed work Petroleum Operations to be undertaken, personnel required and expenditures to be incurred, including the timing of same, on a Calendar Year calendar year basis; (2) an ; An estimated date for the commencement of production; (3) a Production; A delineation of the proposed Exploitation Development and Production Area; and (4) any and Any other information requested by the Operating Committee. (B) . After receipt of the Development Plan and prior to any applicable deadline under pursuant to applicable Petroleum law and the ContractEPCC, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program work programme and Budget budget for the development Development of a Discovery, as submitted by Operator. If the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development Plan, Operator shall, as soon as possible, deliver any the notice of Commercial Discovery required under the Contract pursuant to applicable law and take such other steps as may be required under pursuant to the Contract EPCC to secure approval of the Development Plan by the Government. In the event the Government requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) . If the Development Plan is approvedapproved by the Government, such work Petroleum Operations as required by the plan shall be incorporated into and form part of annual Work Programs work programmes and Budgetsbudgets, and Operator shall, on or before the 1st Day day of October September of each Calendar Year every year submit a Work Program work programme and Budget budget for the Exploitation Production and Development Area, for the following Calendar Yearcalendar year. Subject to Article 6.57.5, within thirty (30) Days days after such submissionsubmittal, the Operating Committee shall endeavor endeavour to agree to such Work Program work programme and Budgetbudget, including any necessary or appropriate revisions to the Work Program work programme and Budget budget for the Development Plan approved Development Planby Government.

Development. (A) Following appraisal of a Discovery, the Operator shall, as soon as practicable, submit to the Parties a report containing the results of that appraisal and the Operator's recommendation as to whether the Discovery is potentially commercial, including an explanation and the reasoning adopted in arriving at such recommendation. If the Operating Committee determines that a Discovery may be a Commercial Discovery, Operator shall, as soon as practicable, deliver to the Parties a Development Plan together with the first annual Work Program and Budget (or a multi-year Work Program and Budget pursuant to Article 6.5) and provisional Work Programs and Budgets for the remainder of the development of the Discovery, which shall contain, inter alia: (1) details of the proposed work to be undertaken, personnel required and expenditures to be incurred, including the timing of same, on a Calendar Year basis; (2) an estimated date for the commencement of productionproduction and production forecast on a Calendar Year basis; (3) a delineation of the proposed Exploitation Area; and (4) any other information requested by the Operating Committee. (B) After receipt of the Development Plan and prior to any applicable deadline under the ContractLicence, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program and Budget for the development of a Discovery, as submitted by Operator. If the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development Plan, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract Licence and take such other steps as may be required under the Contract Licence to secure approval of the Development Plan by the GovernmentMinister. In the event the Government Minister requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st first (1st) Day of October June in each Calendar Year, deliver to the Parties, for planning purposes only, an indicative proposed Work Program and Budget detailing the Joint Operations to be performed in respect of the Exploitation Area for the following period from 1st June to 31st December in that Calendar Year and the whole of the following Calendar Year. The terms of such Work Program and Budget shall not be binding on the Parties. Operator shall, on or before the first (1st) Day of September of each Calendar Year submit a Work Program and Budget for the Exploitation Area, Area for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submissionsubmittal, the Operating Committee shall endeavor to agree to approve such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

If the Development Plan is approved by the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development PlanCommittee, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract and take such other steps as may be required under the Contract to secure approval of the Development Plan by the GovernmentGovernment and Government Oil Company. In the event the Government or Government Oil Company requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, shall on or before the DEC. 1st Day of October of each Calendar Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar Year. Subject to Article 6.5, within thirty Within forty-five (3045) Days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

If the Development Plan is approved by the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development PlanCommittee, Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract and take such other steps as may be required under the Contract to secure approval of the Development Plan by the GovernmentGovernment and Government Oil Company. In the event the Government or Government Oil Company requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st first Day of October the fourth month of each Calendar Contract Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar such Contract Year. Subject to Article 6.5, within thirty Within forty-five (3045) Days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

Subject to Article 6.5, For the 2004 Calendar Year such Program and Budget shall be submitted within thirty fifteen (3015) Days days of the execution of this Agreement. Within sixty (60) days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs and Budgets, and Operator shall, on or before the 1st 30th Day of October September of each Calendar Year submit a Work Program and Budget for the Exploitation Area, for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submissionsubmittal, the Operating Committee shall endeavor to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan.

(B) After receipt of the Development Plan and prior to any applicable deadline under the ContractLicence, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program Programme and Budget for the development of a Discovery, as submitted by the Operator. If the Operating Committee determines that the Discovery is a Commercial Discovery and approves the corresponding Development Plan, the Operator shall, as soon as possible, deliver any notice of Commercial Discovery required under the Contract Licence and take such other steps as may be required under the Contract Licence to secure approval of the Development Plan by the GovernmentMinister. In the event the Government Minister requires changes in the Development Plan, the matter shall be resubmitted to the Operating Committee for further consideration. (C) If the Development Plan is approved, such work shall be incorporated into and form part of annual Work Programs Programmes and Budgets, and . The Operator shall, on or before the 1st first (1st) Day of October of each Calendar Year submit a Work Program Programme and Budget for the Exploitation Area, Area for the following Calendar Year. Subject to Article 6.5, within thirty (30) Days after such submissionsubmittal, the Operating Committee shall endeavor endeavour to agree to approve such Work Program Programme and Budget, including any necessary or appropriate revisions to the Work Program Programme and Budget for the approved Development Plan.

Development. (A) 9.2.1 If the Operating Committee determines that a Discovery may be a Commercial Discoverycommercial, the Operator shall, as soon as practicable, deliver to the Parties a Development Plan together with the first annual Work Program and Budget (or a multi-year Work Program and Budget pursuant to Article 6.5) and provisional Work Programs and Budgets for the remainder of the development of the Discovery, which shall contain, inter alia: (1i) details Details of the proposed work to be undertaken, personnel required and expenditures to be incurred, including the timing of same, on a Calendar Year basis; (2ii) an An estimated date for the commencement of production; (3iii) a A delineation of the proposed Exploitation AreaProduction Lease; and (4iv) any Any other information requested by the Operating Committee. 9.2.2 Within sixty (B60) After to ninety (90) days of receipt of the Development Plan and prior to any applicable deadline under the ContractPlan, the Operating Committee shall meet to consider, modify and then either approve or reject the Development Plan and the first annual Work Program and Budget for the development of a Discovery, as submitted by Operator. (C) 9.2.3 If the Development Plan is approved, such work shall be incorporated into and form part of the annual Work Programs and Budgets, and Operator shall, on or before the 1st 15th Day of October November of each Calendar Year submit a Work Program and Budget for the Exploitation AreaProduction Lease, for the following Calendar Year. Subject to Article 6.5, Year except in the initial year of this Agreement the Program and Budget shall be submitted within thirty (30) Days days of the execution of this Agreement. Within sixty (60) days after such submissionsubmittal, the Operating Committee shall endeavor endeavour to agree to such Work Program and Budget, including any necessary or appropriate revisions to the Work Program and Budget for the approved Development Plan..
