Determination by the Reviewing Party. The Indemnitee’s obligation to reimburse the Company for any advanced Expenses shall be unsecured and no interest shall be charged thereon. If there has not been a Change in Control, the Reviewing Party shall be selected by the Board, and if there has been such a Change in Control (other than a Change in Control which has been approved by a majority of the Company’s Board who were directors immediately prior to such Change in Control), the Reviewing Party shall be the Independent Counsel referred to in Section III.2(e) hereof.

Any determination by the Reviewing Party otherwise shall be conclusive and binding on the Company and the Indemnitee.

Determination by the Reviewing Party. For the purposes of this Agreement, the “Reviewing Party” with respect to each indemnification request of the Indemnitee shall be (A) the Board by a majority vote of a quorum consisting of Disinterested Directors (as defined below), or (B) if a quorum of the Board consisting of Disinterested Directors is not obtainable or, even if obtainable, said Disinterested Directors so direct, an Independent Counsel in a written opinion to the Board of Directors, a copy of which shall be delivered to the Indemnitee. If the Reviewing Party shall determine that Indemnitee is entitled to indemnification as to part (but not all) of the application for indemnification, such person shall reasonably pro-rate such part of indemnification among such claims, issues or matters. If it is so determined that Indemnitee is entitled to indemnification, payment to Indemnitee shall be made within ten (10) days after such determination.

Notwithstanding the foregoing, (i) the obligations of the Company under Section II.1 shall be subject anything foregoing to the condition that contrary, in the event the Reviewing Party shall not have determined (in a written opinion, in any case in which the Independent Counsel referred to in Section III.2(e) hereof is involved) that Indemnitee would not be permitted to be indemnified under applicable law or the Company’s Articles of Association, and (ii) the obligation of informs the Company to make an advance payment of Expenses to Indemnitee pursuant to Section III. 2(a) shall be subject to the condition that, if, when and to the extent that the Reviewing Party determines that Indemnitee would is not be permitted entitled to be so indemnified indemnification in connection with a Proceeding or Indemnifiable Event under this Agreement or applicable law or the Company’s Articles of Associationlaw, the Company shall be entitled to be reimbursed by the Indemnitee (who hereby agrees to reimburse the Company) for all the Expenses previously advanced or otherwise paid to the Indemnitee in connection with such amounts theretofore paidProceeding or Indemnifiable Event; provided, however, that the Indemnitee may bring a suit to enforce his/her indemnification right in accordance with Section C.3 (“Suit to Enforce Rights”) below, and if the Indemnitee has commenced or thereafter commences legal proceedings in a court of competent jurisdiction brings suit to secure a determination that Indemnitee should be indemnified under applicable lawenforce his/her indemnification right, any determination made by the Reviewing Party that the Indemnitee would not be permitted to be indemnified under this Agreement or applicable law shall not be binding and the Indemnitee shall not be required to reimburse the Company for any Expenses previously advanced Expenses or otherwise paid to the Indemnitee in connection with such Proceeding or Indemnifiable Event until a final judicial determination is made with respect thereto (as to which all rights of appeal therefrom have been exhausted or lapsed). The Indemnitee’s obligation to reimburse the Company for any Expenses previously advanced Expenses shall be unsecured and no interest shall be charged thereon. If there has not The Company shall continue to advance Expenses in accordance with Section C.2(a) and reimburse Expenses in accordance with Section C.2(b) until a final judicial determination (as to which all rights of appeal therefrom have been a Change in Control, the Reviewing Party shall be selected by the Board, and if there exhausted or lapsed) has been such made that the Indemnitee is not entitled to indemnification in connection with a Change in Control (other than a Change in Control which has been approved by a majority of the Company’s Board who were directors immediately prior to such Change in Control), the Reviewing Party shall be the Independent Counsel referred to in Section III.2(e) hereofProceeding or Indemnifiable Event under this Agreement or applicable law.

Determination by the Reviewing Party. The Indemnitee’s obligation to reimburse the Company for any advanced Expenses shall be unsecured and no interest shall be charged thereon. If there has not been a Change in Control, the Reviewing Party shall be selected by the Board, and if there has been such a Change in Control (other than a Change in Control which has been approved by a majority of the Company’s Board who were directors immediately prior to such Change in Control), the Reviewing Party shall be the Independent Counsel referred to in Section III.2(eC.2(e) hereof.
