Any decision by the Trustees to bring or maintain a court action, and no suit, proceeding or suit other action shall be commenced or maintained after a decision to reject a demand. The Trust shall advise the Shareholder submitting such demand whether it requires additional reasonable time within which to conduct an inquiry into the allegations made in the demand. Any Trustee acting in connection with any demand or any proceeding relating to a claim on behalf or for the benefit of the Trust or a series or class of Shares who is not an Interested Person shall be subject deemed to the right of the Shareholders under Article V hereof be independent and disinterested with respect to vote on whether or not such court actiondemand, proceeding or suit should or should not be brought or maintainedclaim.
