Common use of Demand Registration Request Clause in Contracts

Demand Registration Request. Any Demand Registration Request, Shelf Registration Request or Shelf Takedown Notice shall: (i) specify the number of Registrable Securities that the Investor(s) intends to register (or offer in an underwritten public offering, as applicable); (ii) specify the number of Registrable Securities then held by the Investor(s); (iii) describe the nature or methods of the proposed registration thereof and the jurisdictions in which such registration is proposed to be made, which in the case of a Shelf Registration Statement, may include a broad list of potential alternative methods; and (iv) constitute an undertaking of the Investor(s) to provide all such information regarding such Investor and its Registrable Securities as may be reasonably required in order to permit the Company to comply with the Securities Act and/or Canadian Securities Laws, as applicable to such registration.
