Common use of Delivery Fee Clause in Contracts

Delivery Fee. No later than five (5) calendar days after the date of this Agreement, the Buyer shall pay a fee (the "Delivery Fee") to the Seller in an amount equal to $100,000.00. In the event that the Buyer executes and delivers the Promissory Note on the Closing Date, the Delivery Fee shall be credited against the Facility Fee (as defined below).
