Common use of Delivery Fee Clause in Contracts

Delivery Fee. In consideration of the performance by ArQule of the Directed Array(TM) Program, Monsanto shall pay ArQule a delivery fee equal to [ ]* per Directed Array(TM) Program during [ ]*. Thereafter, Monsanto shall make the following annual payment to ArQule during [ ]*. Annual Payment = [ ]* x (1 + CPI) Where CPI is a fraction, the numerator of which is the difference between the Consumer Price Index (CPI-U; U.S. City Average for all items; 1982-84 = 100) as of the last month of the immediately preceding Contract Year and the Consumer Price Index as of the month immediately preceding the Effective Date and the denominator of which is the Consumer Price Index as of the month immediately preceding the Effective Date.
