Common use of Definition of Seller’s Knowledge Clause in Contracts

Definition of Seller’s Knowledge. With respect to Seller’s Representation, the term Seller’s Knowledge shall mean and refer to the Knowledge of the persons identified in the Seller/Property Information Schedule as to each Seller. Each Seller represents and warrants to Buyer as to itself that the persons identified as to such Seller in the Seller/Property Information Schedule are in an official position on behalf of such Seller to have the information that is the subject of such Seller’s Representations. Nothing contained in this Section 6.13 shall impose any personal liability on any of the foregoing individuals.

Definition of Seller’s Knowledge. With respect to Seller’s RepresentationSellers' knowledge" shall mean, where a representation or warranty is stated to, or based on, the term Seller’s Knowledge shall mean and refer to the Knowledge knowledge of the persons identified Sellers, the matter is actually known by Sellers or should have been known by Sellers in the Seller/Property Information Schedule their capacities as to each Seller. Each Seller represents stockholders and warrants to Buyer by Ms. Allison in her capacity as to itself that the persons identified as to such Seller in the Seller/Property Information Schedule are in an official position on behalf of such Seller to have the information that is the subject of such Seller’s Representations. Nothing contained in this Section 6.13 shall impose any personal liability on any executive officer of the foregoing individualsCompany.
