Common use of Definition of Seller’s Knowledge Clause in Contracts

Definition of Seller’s Knowledge. In those instances where Seller’s representations are made on the basis of Seller’s “knowledge,” such representations are made by Seller on the basis of the actual, conscious knowledge of Xxxxxxx X. Xxxxxx, Vice President of Land & Marketing, and Xxx X. Xxxxxxxxxxx, Vice President of Exploration, without any inquiry.

Definition of Seller’s Knowledge. In those instances where Seller’s representations are made on the basis of “Seller’s “knowledge,” such representations are made by Seller on the basis of the actual, conscious actual knowledge of Xxxxxxx X. Xxxxxx, Vice President of Land & Marketing, and Xxx X. Xxxxxxxxxxx, Vice President of ExplorationSeller’s personnel listed on Schedule 6(p), without any investigation or further inquiry.

Definition of Seller’s Knowledge. In those instances where “Seller’s representations are made on Knowledge” means the basis current actual knowledge of Sxxxx XxXxxxxxx, the asset manager of the Property, who is the individual in Seller’s organization who works directly with the property manager (“knowledge,Seller’s Representative”) without independent inquiry or investigation; provided that “Seller’s Knowledge” such representations are made by Seller on does not include the basis of the actual, conscious knowledge of Xxxxxxx X.
