Common use of Deferred Prosecution Clause in Contracts

Deferred Prosecution. 16. In consideration of the undertakings agreed to by the Company herein, the Office agrees that any prosecution of the Company or any of its subsidiaries and majority-owned, operationally-controlled affiliates for the conduct set forth in the attached Statements of Facts or Information be and hereby is deferred for the Term. To the extent there is conduct disclosed by the Company that is not set forth in the Statement of Facts or Information, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

To the extent there is conduct disclosed by the Company that is not set forth in the Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.

In consideration of the undertakings agreed to by the Company herein, the Office agrees Offices agree that any prosecution of the Company or relating to any of its subsidiaries and majority-owned, operationally-controlled affiliates for the conduct set forth described in the attached Statements Statement of Facts or Information be and hereby is deferred for the Term, except as provided in the plea agreement between the Offices and CSSEL dated October 19, 2021. To the extent there is conduct disclosed by the Company that is not set forth in the Statement of Facts or InformationFacts, such conduct will not be exempt from further prosecution and is not within the scope of or relevant to this Agreement.
