Deemed Fully Paid and Non-Assessable Shares. All Arrangement Consideration Shares issued or distributed pursuant hereto, as the case may be, shall be deemed to be validly issued and outstanding as fully paid and non-assessable shares for all purposes of the OBCA or the BCBCA, as applicable.
Deemed Fully Paid and Non-Assessable Shares. All Purchaser Shares issued pursuant to this Plan of Arrangement shall be deemed to be validly issued and outstanding as fully paid and non-assessable shares.

All BHC Class A Shares, BHC Special Shares, TC Shares, TC Sub Shares, Numberco Shares, Amalco Shares and Amalco 2 Shares issued pursuant to this Plan of Arrangement will be deemed to be or have been validly issued and outstanding as fully paid and non-assessable shares for all purposes of the CBCA or BCBCA, as the case may be.
Deemed Fully Paid and Non-Assessable Shares. All West Fraser Shares issued pursuant hereto shall be deemed to be validly issued and outstanding as fully paid and non-assessable shares for all purposes of the Business Corporations Act (British Columbia).
