Common use of Decline/Delay in Processing Clause in Contracts

Decline/Delay in Processing. The Custodian reserves the right to decline to process or delay the processing of any purported Proper Instruction where: 22.6.1 the Custodian, in good faith, determines that the instruction may not have been properly authorized; 22.6.2 the instruction is inaccurate, incomplete, or unclear; 22.6.3 the instruction conflicts with the terms of this Agreement or any Law applicable to either Party, Local Market Practice, or the Custodian’s standard operating procedures; or 22.6.4 the Custodian has not been given a reasonable time period to affect the instruction. In these circumstances, the Custodian will promptly seek authentication, clarification, correction, or amendment of any Proper Instruction, as the case may be.
