Common use of De Minimus Traffic Clause in Contracts

De Minimus Traffic. In the event the Traffic terminated on the Telephone Company’s network is de minimus such that the total minutes for compensation is less than 3,000 minutes of use for a three month period (or 1,000 minutes of use for a one month period if the Telephone Company bills monthly), the Parties agree that the Telephone Company shall not render a billing. It is agreed that the only compensation for that de minimus Traffic will be in the form of the reciprocal Transport and Termination services provided by the other Party, i.e., Traffic will be exchanged on a xxxx and keep basis, and no billing will be issued by the Telephone Company.
