Common use of Data Room Clause in Contracts

Data Room. The Seller and the Buyers will cause ▇▇▇▇▇▇▇ Corporation to: (i) within five (5) Business Days following the date hereof, create three (3) copies (in CD format) for each of the Seller and the Buyers of the data contained in the Data Room as it exists on the date hereof and (ii) create three copies (in CD Format) for each of the Seller and the Buyers of the data contained in the Data Room as it exists on the Closing Date. The Seller and the Buyers shall share equally the fees and expenses charged by ▇▇▇▇▇▇▇ Corporation in connection with making and delivering the information required pursuant to this Section 6.15. Seller shall take such actions as are necessary to transfer ownership of the data contained in the Data Room that constitutes Books and Records (as opposed, for example, to the history of Third Party access to such data or other information or rights that do not constitute “Assets” hereunder) to the Buyers.
