Data Room Information. All Exeter Diligence Information provided is true and correct in all material respects and does not contain any material omissions as at its respective date as stated therein, or, if any Exeter Diligence Information is undated, as of the date of its delivery to the data site for purposes of the transactions contemplated by this Agreement. None of the Exeter Diligence Information has been amended except as provided in the Exeter Diligence Information. All material information provided to the Purchaser by the Company in relation to the Purchaser’s due diligence requests, including information not provided in the Exeter Diligence Information, is true and correct in all material respects and does not contain any material omissions as at its respective date as stated therein and has not been amended except as provided to the Purchaser. The Company acknowledges that the Purchaser is relying on all information provided by the Company to them in entering into this Agreement.
Data Room Information. All Tahoe Diligence Information provided is true and correct in all respects and does not contain any omissions as at its respective date as stated therein, or, if any Tahoe Diligence Information is undated, as of the date of its delivery to the data site for purposes of the transactions contemplated by this Agreement. None of the Tahoe Diligence Information has been amended except as provided in the Tahoe Diligence Information. Additionally, all information provided to Rio Alto in relation to the Rio Alto’s due diligence requests, including information not provided in the Tahoe Diligence Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to Rio Alto. Tahoe acknowledges that Rio Alto is relying on all information provided by Tahoe to them in entering into this Agreement.
Data Room Information. All Nomad Diligence Information provided is true and correct in all respects and does not contain any omissions as at its respective date as stated therein, or, if any Nomad Diligence Information is undated, as of the date of its delivery to the data room for purposes of the transactions contemplated by this Agreement. The Nomad Diligence Information includes complete and correct copies of the resolutions or minutes (or, in the case of draft minutes, the most recent drafts thereof) of all meetings of the Nomad Shareholders, the Nomad Board and each committee of the Nomad Board, excluding any minutes (or portion thereof) of the Nomad Board in relation to this Agreement, and the Company has not taken any action to amend or supersede such documents. None of the Nomad Diligence Information has been amended except as provided in the Nomad Diligence Information. Additionally, all information provided to the Purchaser in relation to the Purchaser’s due diligence requests, including information not provided in the Nomad Diligence Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to the Purchaser. The Company acknowledges that the Purchaser is relying on all information provided by the Company to them in entering into this Agreement.
Data Room Information. All Data Room Information was accurate in all material respects as at its respective date as stated therein, or, if any Data Room Information is undated, as of the date of its delivery to the IntraLinks website for purposes of the transactions contemplated by this Agreement or to the Offeror on a compact disc or in documentary form. Additionally, all information provided to the Offeror in relation to the Offeror's due diligence requests, including information not provided in the Data Room Information, is accurate in all material respects as at its respective date as stated therein.
Data Room Information. Within five (5) Business Days of the date of this Agreement, the Company shall deliver to Parent an electronic copy, whether by thumb drive or other electronic means, of all documents and information contained in the VDR as of 11:59 p.m. Pacific Time, on the date that is two (2) Business Days prior to the date hereof.
Data Room Information. None of the Data Room Information has been amended except as specifically noted as amended in the Data Room Information.
Data Room Information. Additionally, all information provided to Hecla in relation to Hecla due diligence requests, including information not provided in the Data Room Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to Hecla. Aurizon acknowledges that Hecla and Acquireco are relying on all information provided by Aurizon to them in entering into this Agreement.
Data Room Information. As promptly as reasonably practicable following the Termination Agreement Date, AMAG shall deliver or cause to be delivered to Palatin a DVD, CD-ROMs or other digital media file transfer with all documents or information relating exclusively to the Product and the Transferred Assets and available to Palatin as of the date hereof in the electronic data room related to the Product and hosted by Datasite, access of which has been made available to Palatin prior to the Termination Agreement Date.
Data Room Information. All HudBay Data Room Information was accurate in all material respects as at its respective date as stated therein, or, if any HudBay Data Room Information was undated, as of the date of its delivery to the website for purposes of the transactions contemplated by this Agreement. Additionally, all information provided to Xxxxxx in relation to Xxxxxx’x due diligence requests, including information not provided in the HudBay Data Room Information, is accurate in all material respects as at its respective date as stated therein. To the extent that there has been a material change to any of the HudBay Data Room Information or any other information provided to HudBay since the date posted to the website or provided to Xxxxxx, as the case may be, such information is accurate in all material respects or is no longer relevant or material to HudBay or additional information has been provided in the HudBay Data Room or to Xxxxxx which supersedes or replaces such information.
Data Room Information. All Solitario Diligence Information provided is true and correct in all respects and does not contain any omissions as at its respective date as stated therein, or, if any Solitario Diligence Information is undated, as of the date of its delivery to the data site for purposes of the transactions contemplated by this Agreement. None of the Solitario Diligence Information has been amended except as provided in the Solitario Diligence Information. Additionally, all information provided to Zazu in relation to the Zazu's due diligence requests, including information not provided in the Solitario Diligence Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to Zazu. Solitario acknowledges that Zazu is relying on all information provided by Solitario to them in entering into this Agreement.
