Common use of Customer Responsibilities Clause in Contracts

Customer Responsibilities. Customer is responsible for Users' compliance with this Agreement and will (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, and notify PROS immediately of any such unauthorized access or use; and

Customer Responsibilities. Customer is will (a) be responsible for Authorized Users' ’ compliance with this Agreement Agreement, (b) be responsible for the accuracy, quality and will legality of Customer Data and the means by which Customer acquired the Customer Data, (ic) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, and notify PROS immediately Provider promptly of any such unauthorized access or use; and, (d) use the Service only in accordance with the Documentation and applicable laws and government regulations, and (e) obtain and maintain all equipment and components necessary for Customer’s use of the Service.

Customer is will (a) be responsible for Customer and Users' compliance ’ use of the Services in accordance with the terms of the Agreement; any act or omission or breach of this Agreement by User shall be deemed to a breach by the Customer (b) be responsible for the accuracy, quality and legality of Customer Materials, (c) prevent and will (i) use commercially reasonable efforts to ensure Users prevent unauthorized access to or use of the Subscription Service, System and notify PROS immediately Fresh Relevance promptly of any such unauthorized access or use; and,

Customer Responsibilities. Customer is responsible for all activities that occur in User accounts and for Users' compliance with this Agreement and will Agreement. Customer shall: (i) have MASTER AGREEMENT sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Data; (ii) use commercially reasonable efforts to prevent unauthorized access to to, or use of of, the Subscription Service, and notify PROS immediately iContracts promptly of any such unauthorized access or use; andand (iii) comply with all applicable local, state, federal and foreign laws in using the Service.

Customer Responsibilities. Customer is will (a) remain fully responsible for its Authorized Users' ’ compliance with this Agreement and will Agreement; (ib) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, Product; and (c) notify PROS Uniphore immediately of any such unauthorized access or use; anduse of the Product.

Customer uses commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service, Services and notify PROS immediately Company of any such unauthorized access or use; and.
