Customer General Responsibilities Sample Clauses
The 'Customer General Responsibilities' clause defines the basic obligations that the customer must fulfill under the agreement. Typically, this includes providing necessary information, access, or resources required for the service provider to perform their duties, as well as complying with relevant laws and timely payment of fees. By clearly outlining these expectations, the clause ensures both parties understand the customer's role in facilitating the contract's successful execution and helps prevent disputes arising from misunderstandings or lack of cooperation.
Customer General Responsibilities. As a condition precedent to QOMPLX’s fulfillment of its duties under the Agreement, Customer shall do the following:
4.1. Confirm that the Scope of Work is accurate and complete.
4.2. Identify all relevant Points of Contact (POCs) from its side to closely work with the QOMPLX team throughout the duration of this engagement.
4.3. Identify all stakeholders and subject matter experts (SMEs) and authorized counterparties.
4.4. Meet all necessary technical requirements by providing and maintaining, at Customer’s expense, all third-party software, hardware, network access, telecommunications and other services and equipment necessary for QOMPLX to access the Customer’s system in order to provide the Services (“Infrastructure”) and ensuring that all such Infrastructure meets the minimum requirements applicable to such Infrastructure set forth in Scope of Work.
4.5. Comply with all Applicable Laws governing Customer’s use of Customer’s system, including Applicable Laws governing (a) export control and transfer of information into or out of the United States, the European Union and other jurisdictions, and (b) privacy and data security.
4.6. Authorize QOMPLX to use Customer’s name, logo, and/or trademark in connection with certain marketing materials that QOMPLX may disseminate to the public. The promotional materials may include, but are not limited to case studies, testimonials, video, internet website, press releases, digital advertising and any other materials relating the fact that QOMPLX has a business relationship with the Customer.
4.7. Be responsible for governance aspects of this engagement.
4.8. Provide necessary support to QOMPLX team members while they are at Customer’s premises, including support workspace, communications and network connectivity, and access to systems as needed.
4.9. Ensure SME and stakeholder involvement and availability for interviews.
4.10. Provide timely and candid responses to inquiries.
4.11. Provide timely review and signoff of deliverables.
