As of the Closing Date, there exists no actual or, to the knowledge of any Borrower, threatened termination or cancellation of, or any material adverse modification or change in, the business relationship of any Credit Party or any Restricted Subsidiary of any Credit Party with any customer or group of customers that could reasonably be expected to result in a Material Adverse Effect.

As of the Closing Date, there exists no actual or, to the knowledge of any Borrower, threatened termination or cancellation of, or any material adverse modification or change in, in the business relationship of any Credit Party Borrower or any Restricted Subsidiary of any Credit Party with any party to a Material Customer Contract, or (to the extent not otherwise included therein) a customer or group of customers that could reasonably whose purchases during the preceding twelve (12) months caused them to be expected ranked among the ten largest customers of such Person; or the business relationship of Borrower or any of its Subsidiaries with any supplier material to result in a Material Adverse Effectits operations.
