CRITERIA AND CONDITIONS FOR NEW LOANS. The obligation of Lender to make a New Loan (i.e., a CAPEX Draw or a New Acquisition Loan) is subject to the following criteria and conditions precedent, each of which applies to every New Loan unless expressly otherwise set forth herein, and the satisfaction of each of which shall be determined by Lender in its sole discretion:
