Common use of Covenants by Buyer and Seller Clause in Contracts

Covenants by Buyer and Seller. 10.1 Technology Transfer In the interest of avoiding the possibility of a dispute, prior to Closing the parties will have prepared and agreed upon a list of Manufacturing Technology that is to be attached as Exhibit 1.21. The list will describe all of the Manufacturing Technology that has been or shall be provided by Seller to Buyer. In addition, during a period commencing on the Closing and ending December 31, 2004, Seller shall provide up to fifty six (56) man hours of assistance, as reasonably requested by Buyer, to enable Buyer to implement the Manufacturing Technology. Buyer agrees to reimburse Seller for the reasonable out-of-pocket travel and lodging expenses of Seller's personnel who provide assistance to Buyer at Buyer's facilities. Other than as provided in this Section 10.1, Buyer has no further obligation to Seller with respect to providing Manufacturing Technology or services for implementing the Manufacturing Technology.
