Covenant Not to Compete; Non-Solicitation; Protection of Confidential Information and Trade Secrets. (a) Employee shall serve the Company and its direct and indirect subsidiaries (collectively, the “Company” for purposes of this Section 5), loyally and in good faith and use Employee’s best efforts to promote the Company’s interests. Employee hereby agrees not to compete with the Company, not to solicit employees of the Company, not to solicit customers of the Company, and agrees to protect from disclosure Confidential Information and Trade Secrets (as defined in Section 5(f) of this Agreement), pursuant to the terms and conditions hereinafter set forth.
