Common use of Covenant; Enforceability Clause in Contracts

Covenant; Enforceability. The New Investor hereby ratifies and accedes to the terms of, agrees to be bound by, and assumes all rights and obligations under the terms and conditions of, the Registration Rights Agreement, as if the New Investor had been an original party to the Registration Rights Agreement in the same capacity as the Transferor. The existing Parties to the Registration Rights Agreement shall be entitled to enforce the Registration Rights Agreement against the New Investor.

The New Investor Shareholder hereby ratifies and accedes to the terms of, agrees to be bound by, and assumes all rights and obligations under the terms and conditions of, the Registration Investor Rights Agreement, as if the New Investor Shareholder had been an original party to the Registration Investor Rights Agreement in the same capacity as the Transferor. The existing Parties to the Registration Rights Agreement shareholders shall be entitled to enforce the Registration Investor Rights Agreement against the New InvestorShareholder.
