Common use of Costs of Termination Clause in Contracts

Costs of Termination. If this Agreement is terminated by Xxxxxxx Operating for any reason other than the Manager’s default pursuant to Section 4.4, then any reasonable costs and expenses actually incurred by the Manager in connection with such termination (the “Termination Amount”) shall be reimbursed to the Manager by Xxxxxxx Operating; provided, however, that the Manager shall provide (i) reasonable advance notice to Xxxxxxx Operating of the incurrence of any such costs and expenses and (ii) reasonable detail regarding the calculation of such costs and expenses.
