Cost. The term “Cost” shall mean the price per Unit, if any, paid by Executive as proportionately adjusted for all subsequent distributions of Units and other recapitalizations and less the amount of any tax distributions made with respect to the Units pursuant to Section 4.4(g) of the LLC Agreement. For the avoidance of doubt, any amounts deemed to be paid, but not actually paid, by Executive shall not be considered for purposes of “Cost”.
