Corporate Government. (a) The Certificate of Incorporation of Outback, as in effect on the Effective Date, shall continue in full force and effect and shall be the Certificate of Incorporation of the Surviving Corporation.

The members of the Board of Directors and the officers of the Surviving Corporation shall be the persons holding such offices in the Company as of the Effective Date.
