Common use of Cooperation of the Parties Clause in Contracts

Cooperation of the Parties. Each Party agrees to cooperate fully in the prosecution and maintenance of Patent Rights under Section 10.3 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by Section 10.3; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Patents under Section 10.3 10.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like their equivalent with respect thereto respectively respectively, at its own costscost (except as expressly set forth otherwise in this Article 10). Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, reasonably requested by the other Party so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by Section 10.310.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. If either Benitec or Axovant becomes aware of any challenges by any Third Parties to the validity of any of any Benitec Patent, it will notify the other Party in writing to that effect. Each Party agrees to cooperate fully in the prosecution preparation, filing, prosecution, and maintenance of Patent Rights Patents under Section 10.3 9.2 (Patent Prosecution and in the obtaining and maintenance of any patent extensionsMaintenance), supplementary protection certificates and the like with respect thereto respectively at its own costscost. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by Section 10.39.2 (Patent Prosecution and Maintenance); and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Patents under Section 10.3 6.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.16.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by Section 10.36.2; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the prosecution Prosecution and maintenance Maintenance of Patent Rights Patents under this Section 10.3 and in the obtaining and maintenance of any patent extensions‎9.2, supplementary protection certificates and the like with respect thereto respectively at its own costscost. Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Patent Right. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions8.1, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by in accordance with the foregoing provisions of this Section 10.38.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications. Each Party shall pay their respective costs arising from such cooperation in connection with any such preparation, filing, prosecution and/or maintenance.

Cooperation of the Parties. Each Party agrees to cooperate fully shall provide the other Party all reasonable assistance and cooperation in the preparation, filing, prosecution and maintenance of Patent Rights Patents under Section 10.3 Sections 8.3(b) and in 8.3(c), at the obtaining request and maintenance expense of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costsprosecuting Party. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.18.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications Patent in any country as permitted by Section 10.3; 8.3 and (bii) promptly informing the other Party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applicationsPatent.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Fxxxxx Patents under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Fxxxxx Patent. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions Improvements set forth in Section 10.1Article 17.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by Section 10.3country; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Joint Patent Rights under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Patent Right. Such cooperation includes, but is not limited to: (ai) promptly executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions8.1, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by in accordance with the foregoing provisions of this Section 10.38.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights the Inventiva Patents, Jointly Owned Product Invention Patents and Jointly Owned Other Invention Patents under this Section 10.3 12.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costsrespectively. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party Inventiva to apply for and to prosecute patent applications in any country or region as permitted by this Section 10.312.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Patents under Section 10.3 7.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.17.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by Section 10.37.2; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Patents under Section 10.3 10.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by Section 10.310.2; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Joint Patent Rights under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Joint Patent Right. Such cooperation includes, but is not limited to: (ai) promptly executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions8.1, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by in accordance with the foregoing provisions of this Section 10.38.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights Allogene Patents, Licensee Invention Patents and Joint Invention Patents under this Section 10.3 11.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country jurisdiction as permitted by this Section 10.311.2; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully with each other and the IPC in the preparation, filing, prosecution and maintenance of Licensor Patent Rights under Section 10.3 this Agreement and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Licensor Patent Rights as well as in registering the licenses granted hereunder with the applicable authorities. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by in accordance with the foregoing provisions of this Section 10.36.2(d); and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any Patent Right. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, contractors to execute such papers and instruments, so as to effectuate the ownership of Inventions, including Joint Inventions and Joint Patent Rights, as set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions8.1, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by in accordance with the foregoing provisions of this Section 10.38.1; and (bii) promptly informing the other Party of any matters coming to such Party’s attention that may be reasonably expected to affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights any Patents under Section 10.3 this Agreement and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststo any such Patent. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.17.1, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute patent applications in any country as permitted by Section 10.3country; and (b) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to reasonably cooperate fully in the prosecution and maintenance Prosecution of Patent Rights Patents under this Section 10.3 12.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own coststhereto. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees employees, consultants or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.112.1.2, and Patent Rights Patents claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute Prosecute patent applications in any country as permitted by Section 10.3this Agreement; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the prosecution and maintenance of Patent Rights under Section 10.3 9.2 and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (a) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.19.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country as permitted by Section 10.39.2; and (b) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to [*] cooperate fully in all [*] respects in the preparation, filing, prosecution and maintenance of Patent Rights under Section 10.3 C4T Product Patents, Jointly Owned Other Invention Patents and Licensee Combination Product Invention Patents and in the obtaining and maintenance of any patent extensions, supplementary protection certificates and the like with respect thereto respectively at its own costs. Such cooperation includes, but is not limited to: (ai) executing all papers and instruments, or requiring its employees or contractors, to execute such papers and instruments, so as to effectuate the ownership of Inventions set forth in Section 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country or region as permitted by this Section 10.312.2; and (bii) promptly [*] informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applicationsapplications or Patents.
