Conversion From Form S-1 to Form S-3. Within 30 days of becoming eligible to file a registration statement on Form S-3, Eagle Rock agrees to convert any Registration Statement on Form S-1 covering the Purchased Common Units into a registration statement on Form S-3 such that the Purchased Common Units may be sold from time-to-time pursuant to Rule 415 under the Securities Act (or any similar provision then in force).
