Common use of Controlling Agreements Clause in Contracts

Controlling Agreements. Simultaneously with the execution and delivery of this Agreement, the parties hereto are executing and delivering the Escrow Agreement and an Agreement with Shareholders, each as contemplated by the Acquisition Agreement. The terms of such other agreements, to the extent of any conflict with the terms herein, shall control and govern over the terms of this Agreement.

Controlling Agreements. Simultaneously with the execution and delivery of this Agreement, the parties hereto are executing and delivering the Termination Agreement, as contemplated by Section 2.9, and also an Escrow Agreement and an Agreement with Shareholders, each as contemplated by the Acquisition Agreement. The terms of such other agreements, to the extent of any conflict with the terms herein, shall control and govern over the terms of this Agreement.
