Common use of Contracts or Other Agreements Clause in Contracts

Contracts or Other Agreements. Neither the execution or delivery of this Agreement nor the consummation of this transaction will: (i) conflict with, constitute a breach, violation or termination of any provision of any contract or other agreement to which Omega is a party or by which it is bound; or (ii) violate any law, regulation, judgment, rule, order or any other restriction of any kind or character applicable to Omega.

Contracts or Other Agreements. Neither the execution or delivery of this Agreement nor the consummation of this transaction will: (i) conflict with, constitute a breach, violation or termination of any provision of the Articles of Incorporation or Bylaws of either Buyer or Omega or any contract or other agreement to which Buyer or Omega is a party or by which it is bound; or (ii) violate any law, regulation, judgment, rule, order or any other restriction of any kind or character applicable to Buyer or Omega.

Neither the execution or delivery of this Agreement nor the consummation of this transaction will: (i) conflict with, constitute a breach, violation or termination of any provision of any contract or other agreement to which Omega Buyer is a party or by which it is bound; or (ii) violate any law, regulation, judgment, rule, order or any other restriction of any kind or character applicable to OmegaBuyer.

Contracts or Other Agreements. Neither the execution or delivery of this Agreement nor the consummation of this transaction will: (i) conflict with, constitute a breach, violation or termination of any provision of any contract or other agreement to which Omega either the Seller or Corporation is a party or by which it either the Seller or Corporation is bound; (ii) result in the creation or imposition of any Lien against the Shares; or (iiiii) violate any law, regulation, judgment, rule, order or any other restriction of any kind or character applicable to Omegathe Seller, Corporation, or the Shares.
