Common use of Continuing Agreement Clause in Contracts

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of the Secured Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any obligations with respect to the indemnities and the representations and warranties set forth in the Credit Documents). Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. (a) This Domestic Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of the Secured Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any obligations with respect to the indemnities and the representations and warranties set forth in the Credit Loan Documents). Upon such payment and termination, this Domestic Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Domestic Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of the Secured Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any contingent indemnification obligations with respect to the indemnities and the representations and warranties set forth in the Credit Documents)for which no claim has been asserted) remains outstanding. Upon such payment and terminationor other satisfaction of all Obligations (other than contingent indemnification obligations for which no claim has been asserted), this Security Agreement and the liens and security interests of the Administrative Collateral Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such terminationtermination and return to Grantors all Collateral in its possession. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and and, the Administrative Agent Lenders shall, upon the request and at the expense of the GrantorsObligors, forthwith release all of its liens and security interests hereunder and shall execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Obligors evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long until such time as any of the Secured Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any obligations excluding Secured Obligations solely with respect to Cash Collateralized Letters of Credit) arising under the indemnities Loan Documents have been paid in full and the representations Commitments and warranties set forth in the any Letter of Credit Documents). Upon such payment and termination(excluding any Cash Collateralized Letter of Credit) have expired or been terminated, at which time this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Agent shall, upon the request and at the expense of the GrantorsObligors, forthwith release all of its liens and security interests hereunder and shall execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Obligors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Agent shall, upon the request and at the expense of the Grantors, execute and deliver deliver, or authorize the filing of, all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of until the Secured Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any contingent indemnity obligations with respect that survive termination of the Credit Documents pursuant to the indemnities stated terms thereof) have been paid in full and the representations and warranties set forth in the Credit Documents)Commitments shall have been terminated. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the GrantorsObligors, forthwith release all of the Liens and security interests granted hereunder and shall execute and and/or deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Obligors evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of until the Secured Credit Facility Obligations remains outstanding and until all of the commitments relating thereto have been terminated (other than any contingent indemnity obligations with respect that survive termination of the Credit Documents pursuant to the indemnities stated terms thereof) have been paid in full and the representations and warranties set forth in the Credit Documents)Commitments shall have been terminated. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the GrantorsObligors, forthwith release all of the Liens and security interests granted hereunder and shall execute and and/or deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Obligors evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Agent and the Lenders shall, upon the request and at the expense of the GrantorsObligors, forthwith release all of their liens and security interests hereunder and shall execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Obligors evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the Grantors, forthwith release all of its liens and security interests hereunder and shall authorize or execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Collateral Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect for so long as any of Lender shall have any Commitment under the Secured Obligations remains outstanding Credit Agreement, and until all of so long as any Loan or other Obligation under the commitments relating thereto have been terminated Credit Agreement shall remain unpaid or unsatisfied (other than any contingent indemnification obligations with respect to the indemnities and the representations and warranties set forth in the Credit Documentsfor which no claim has been asserted). Upon such payment and termination, at which time this Security Agreement Agreement, and the liens and security interests of the Administrative Agent hereunder hereunder, shall be automatically terminated and the Administrative Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such terminationtermination and return to Grantors all Collateral in its possession. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Collateral Agent and the holders of the Secured Obligations shall, upon the request and at the expense of the Grantors, forthwith release all of its liens and security interests hereunder and shall execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Upon such payment and termination, this Domestic Security Agreement and the liens and security interests of the Administrative Collateral Agent hereunder shall be automatically terminated and the Administrative Collateral Agent shall, upon the request and at the expense of the Grantors, execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, all releases and indemnities provided hereunder shall survive termination of this Domestic Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as the Credit Agreement is in effect or any amounts payable thereunder or under any other Credit Document or any Letter of the Secured Obligations remains outstanding Credit shall remain outstanding, and until all of the commitments relating thereto Commitments thereunder shall have been terminated (other than any contingent indemnity obligations with respect to the indemnities not yet due and the representations and warranties set forth in the Credit Documentspayable). Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and and, the Administrative Agent Lenders shall, upon the request and at the expense of the GrantorsBorrowers, forthwith release all of its liens and security interests hereunder and shall execute and deliver all UCC termination statements and/or other documents reasonably requested by the Grantors Borrowers evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive termination of this Security Agreement.

Continuing Agreement. (a) This Security Agreement shall be a continuing agreement in every respect and shall remain in full force and effect so long as any of the Secured Obligations remains remain outstanding and until all of the commitments relating thereto have been terminated (other than any obligations with respect to the indemnities and the representations and warranties set forth in the Credit Documents)) and upon satisfactory collateralization of all Letters of Credit. Upon such payment and termination, this Security Agreement and the liens and security interests of the Administrative Agent hereunder shall be automatically terminated and the Administrative Collateral Agent and the Lenders shall, upon the request and at the expense of the Grantors, execute forthwith release all of their liens and deliver security interests hereunder and shall authorize all UCC termination statements and/or other documents reasonably requested by the Grantors evidencing such termination. Notwithstanding the foregoing, foregoing all releases and indemnities provided hereunder shall survive the termination of this Security Agreement.

Continuing Agreement.
