Common use of Consummation of Sale Clause in Contracts

Consummation of Sale. The Selling Member shall have sixty (60) days following the expiration of the Tag-along Period in which to consummate the Tag-along Sale, on terms not more favorable to the Selling Member than those set forth in the Tag-along Notice (which such sixty (60)-day period may be extended for a reasonable time not to exceed ninety (90) days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authority). If at the end of such period the Selling Member had not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 without again fully complying with the provisions of this Section 10.5.

Consummation of Sale. The Selling Member shall have sixty (60) days following the expiration of the Tag-along Period in which to consummate the Tag-along Sale, on terms not more favorable to the Selling Member than those set forth in the Tag-along Notice (which such sixty (60)-day period may be extended for a reasonable time not to exceed ninety (90) days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authority). If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 without again fully complying with the provisions of this Section 10.5.

If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 11.05 without again fully complying with the provisions of this Section 10.511.05.

The Selling Member shall have sixty (60) 60 days following the expiration of the Tag-along Along Period in which to consummate the Tag-along Along Sale, on terms not more favorable to the Selling Member than those set forth in the Tag-along Along Notice (which such sixty (60)-day 60-day period may be extended for a reasonable time not to exceed ninety (90) 90 additional days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authority). If at the end of such period the Selling Member had has not completed the Tag-along Along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 10.04 without again fully complying with the provisions of this Section 10.510.04.

The Selling Member shall have sixty thirty (6030) days following the expiration of the Tag-along Period in which to consummate the Tag-along Sale, on terms not more favorable to the Selling Member than those set forth in the Tag-along Notice (which such sixty (60)-day 30-day period may be extended for a reasonable time not to exceed ninety forty-five (9045) days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authority). If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 8.05 without again fully complying with the provisions of this Section 10.58.05.

Consummation of Sale. If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 X.5 without again fully complying with the provisions of this Section 10.5X.5.

Consummation of Sale. The Selling Member shall have sixty thirty (6030) calendar days following the expiration of the Tag-along Period in which to consummate the Tag-along Sale, on terms not more favorable to the Selling Member than those set forth in the Tag-along Notice (which Notice; provided, however, that deadlines for closing such sixty (60)-day period may a Tag-along Sale made pursuant to Section 9.05 will be extended for a reasonable time not to exceed ninety (90) days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authoritymade in accordance with Section 9.05(c)(i). If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 9.06 without again fully complying with the provisions of this Section 10.59.06.

If at the end of such period the Selling Member had has not completed the Tag-along Sale, the Selling Member may not then effect a Transfer that is subject to this Section 10.5 10.05 without again fully complying with the provisions of this Section 10.510.05.

Consummation of Sale. Consummation of Sale. The Selling Member or the Affiliate Selling Member shall have sixty (60) days following the expiration of the Tag-along Period in which to consummate the Tag-along Sale, on terms not more favorable to the Selling Member or the Affiliate Selling Member than those set forth in the Tag-along Notice (which such sixty (60)-day 60-day period may be extended for a reasonable time not to exceed an additional ninety (90) days to the extent reasonably necessary to obtain required approvals or consents from any Governmental Authoritynecessary). If at the end of such period the Selling Member had or the Affiliate Selling Member has not completed the Tag-along Sale, the Selling Member or the Affiliate Selling Member may not then effect a Transfer that is subject to this Section 10.5 10.05 without again fully complying with the provisions of this Section 10.510.05. Transfers in violation of Section 10.05 are void.
