Common use of Constructive Termination Clause in Contracts

Constructive Termination. Notwithstanding anything in this Section 4 to the contrary, Executive may, upon at least thirty (30) days’ written notice to the Company, voluntarily end his employment upon or within ninety (90) days following the occurrence of an event constituting a Constructive Termination and be eligible to receive the benefits set forth in the Transition Agreement in exchange for executing and delivering that agreement in accordance with Section 9.3 hereof. For purposes of this Agreement, “Constructive Termination” shall mean:

Notwithstanding anything in this Section 4 or Section 5 to the contrary, Executive may, upon at least thirty (30) days’ written notice to the Company, may voluntarily end his employment with the Company and receive the benefits detailed in Section 4.4 upon or within ninety (90) days following the occurrence of an event constituting a "Constructive Termination and be eligible to receive the benefits set forth in the Transition Agreement in exchange Termination," which for executing and delivering that agreement in accordance with Section 9.3 hereof. For purposes of this Agreement, “Constructive Termination” Section 4.5 shall mean:
