Consents; Governmental Approvals. No consent, approval or authorization of, or registration, declaration or filing with, any Governmental Authority or any other Person is required in connection with the valid execution, delivery or performance of this Amendment or any other document executed and delivered by Borrower herewith or in connection with any other transactions contemplated hereby.
Consents; Governmental Approvals. Except as may be specifically identified in a written agreement to which Borrower and Lender are parties, no consent, approval or authorization of, or registration, declaration or filing with, any Governmental Authority or any other Person is required in connection with the valid execution, delivery or performance of this Amendment or any other document executed and delivered by Borrower herewith or in connection with any other transactions contemplated hereby.

Each consent, approval or authorization of, or filing, registration or qualification with, any Person required to be obtained or effected by the Borrower or the Guarantor in connection with the execution and delivery of the Loan Documents or the undertaking or performance of any obligation thereunder has been duly obtained or effected; further, no authorization, consent, approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution, delivery or performance by the Borrower or the Guarantor of any Loan Documents to which it is or will be a party, except for approvals which have been obtained and are in full force and effect;

No consent or approval of any person, firm or corporation, and no consent, license, approval or authorization of, or registration, filing or declaration with, any Governmental Authority is required to be obtained or made by or on behalf of the Company in connection with the offer, issuance and sale of the Securities, the execution, delivery or performance of any of the Transaction Documents or the completion of the transactions contemplated thereby, except for (a) filings with the SEC, the NYSE and under state securities laws that may be required, (b) filings under the HSR Act contemplated by Section 4.5, (c) consent of the banks under the Bank Agreement to permit the issuance of the Convertible Notes and (d) approval of the stockholders of the Company contemplated by Section 4.6.

No Governmental Action is or will be necessary in connection with the execution or delivery of this Fifth Amendment or any other document executed and delivered by Borrower herewith, the consummation by Borrower of the transactions herein contemplated or the performance of or compliance by the Borrower with the terms and conditions hereof or thereof.

No consent or approval of any Person, and no consent, license, approval or authorization of, or registration, filing or declaration with, any Governmental Entity is required to be obtained or made by or on behalf of such Seller in connection with (i) the execution, delivery or performance of this Agreement and each Related Agreement to which such Seller is a party, (ii) the sale of the shares of Convertible Preferred Stock by such Seller provided hereunder, or (iii) the consummation by such Seller of the transactions contemplated hereby or thereby, except for (A) any such consents, approvals, licenses, authorizations, registrations, filings or declarations that have been duly made or obtained and (B) any pre-Closing or post-Closing filings that may be required to be made under the Exchange Act.

No consent or approval of any person, firm or corporation, and no consent, license, approval or authorization of, or registration, filing or declaration with, any Governmental Authority is required to be obtained or made by or on behalf of any Corporation in connection with the issuance or sale of the Notes and Warrants or the execution, delivery or performance of the Transaction Documents or the completion of the transactions contemplated thereby, except for such consents, approvals, licenses, authorizations, registrations, filings or declarations (a) as are listed on Schedule 4.4 hereto, each of which shall have been obtained or made prior to the Closing or (b) which are not known to the Company or as to which the failure to obtain or make would not have a Material Adverse Effect.
