Common use of Consent Procedure Clause in Contracts

Consent Procedure. 5.3.1 Any request by the Seller for the consent of the Purchaser pursuant to Clause 5.1.1 or 5.1.2 shall be submitted to the Purchaser by e-mail to [omitted] and [omitted] and otherwise in accordance with Clause 15.15. 5.3.2 The Seller shall submit any such request to the Purchaser at least five Business Days before the proposed action or matter or, if it is unable to do so, as soon as reasonably practicable thereafter. 5.3.3 The Purchaser shall respond by e-mail to the Seller within three Business Days of receipt (or deemed receipt) of the Seller’s request. 5.3.4 If the Purchaser fails to provide its response by e-mail to the Seller within the applicable time period set forth in Clause 5.3.3, the consent of the Purchaser shall be deemed to have been given in relation to the relevant action or matter.
