Consent Effective Date Clause Samples

Consent Effective Date. This effectiveness of this Consent shall not become effective until completion of each of the following conditions precedent (unless a condition shall have been waived in accordance with Section 9.02 of the Credit Agreement):

Consent Effective Date. The Subject Consent set forth in Paragraph 1(A) above shall not be effective until the date on which all of the following conditions shall have been satisfied (such date of effectiveness being the “Consent Effective Date”): (A) the Lender shall have received a copy of the purchase agreement for the Specified Transaction; and (B) the Lender (or its counsel) shall have received from the Borrowers, a counterpart of this Consent Agreement signed on behalf of such party (which may include email transmission of a signed signature page of this Consent Agreement).

Consent Effective Date. The consent contained in Section 3(b) will become effective upon the date (the "Consent Effective Date") that the Company obtains Rating Agency Confirmation (as defined in the Indenture) with respect to the Second Indenture Amendment.

Consent Effective Date. This Consent and Amendment shall become effective with respect to the Agent and Required Lenders’ consent to the Proposed Sale on the date upon which each of the following conditions is satisfied (such date, the “Consent Effective Date”):

Consent Effective Date. This Consent shall become effective on the date (the "Consent Effective Date") when each of the following conditions have been met: (i) The Borrower and the Required Banks shall have executed a copy hereof (whether the same or different copies) and shall have delivered the same to the Agent and (ii) The Borrower shall have paid to the Agent all cost and expenses (including reasonable legal fees and expenses) then due and payable.

Consent Effective Date. This Consent shall become effective without any further action or consent of any other Person upon the satisfaction or waiver of the following conditions precedent in accordance with the terms of Section 13.10(a) of the Credit Agreement (the date of such satisfaction or waiver, the “Consent Effective Date”): (a) the Administrative Agent shall have received a duly executed counterpart to this Consent from Borrower, each Credit Party party hereto and the Required Lenders; (b) the Administrative Agent shall have received from New York counsel to the Credit Parties (to be reasonably acceptable to the Administrative Agent) a customary opinion addressed to the Administrative Agent, the Collateral Trustee and each of the Lenders and dated the Consent Effective Date; and (c) the Administrative Agent shall have received an officer’s certificate executed by an officer of the Borrower in form and substance reasonably acceptable to the Administrative Agent.
