Conflicting or Adverse Agreements or Restrictions. The execution and delivery by each Loan Party of the Loan Documents to which it is a party and its compliance with and performance of the terms and provisions thereof (a) is not contrary to the provisions of the Articles of Incorporation or Bylaws of such Person, (b) does not violate any Law, regulation, writ, injunction, order or decree of any Tribunal, (c) does not conflict with, result in a breach of or cause a default under any agreement, document or instrument to which such Person is a party or by which it or any of its Properties is bound or to which it or any of its Properties is subject and (d) does not result in the creation of any Lien upon or security interest in any of the Property of such Person except for Permitted Liens.

The execution and delivery by each Loan Party the Borrower of the Loan Documents to which it is a party and its compliance with and performance of the terms and provisions thereof (a) is not contrary to the provisions of the Articles of Incorporation or Bylaws of such Personthe Borrower, (b) does not violate any Law, regulation, writ, injunction, order or decree of any Tribunal, (c) does not conflict with, result in a breach of or cause a default under any agreement, document or instrument to which such Person the Borrower is a party or by which it or any of its Properties is bound or to which it or any of its Properties is subject and (d) does not result in the creation of any Lien upon or security interest in any of the Property of such Person the Borrower except for Permitted Liens.
