CONDITIONS TO THE OBLIGATIONS OF THE PURCHASER TO CLOSE. The obligation of the Purchaser to purchase the Securities, to pay the purchase price therefor and to perform any obligations hereunder shall be subject to the satisfaction as determined by, or waiver by, the Purchaser of the following conditions on or before the Applicable Closing Date. The Purchaser shall be under no obligation to fund any Advance if any of the following conditions have not been satisfied as of the Applicable Closing Date. The Purchaser shall not be obligated to purchase the Note unless the purchase and sale of the Warrant related thereto occurs simultaneously therewith and shall not be obligated to purchase the Warrant unless the purchase and sale of the Note occurs simultaneously therewith.
