The respective obligations of each Party to effect the Contemplated Transactions shall be subject to the satisfaction or waiver in writing at or prior to the Closing Date of the condition that no temporary restraining order, preliminary, or permanent injunction or other order issued by any Governmental Entity of competent jurisdiction prohibiting or challenging, or seeking to prohibit or challenge, the consummation of any of the Contemplated Transactions shall be in effect.
