Conditions to Obligations of ATI. The obligations of ATI to effect the Sale are subject to the satisfaction or waiver, at or before the Closing, of each of the following conditions, except to the extent that any failure of the conditions set forth in paragraphs (a) or (b) below results in damage to ATI that is fully compensable by monetary damages.
