Conditions to Effectiveness of the Transaction Documents. The Authority and TICD may enter into the Transaction Documents only upon (i) the completion of all appropriate environmental review of the Project under CEQA (and NEPA if required), (ii) approval of the Transaction Documents by the Authority, the Board of Supervisors and the Mayor, (iii) the issuance of any other required governmental approvals, and (iv) the Authority’s reasonable approval of evidence of TICD's authorization to enter into the Transaction Documents and its ability to be bound by the obligations thereunder. The significant terms and conditions of the Transaction Documents are set forth below.
