CONDITIONS TO ALL DISBURSEMENTS AND ISSUANCES. The obligation of the Bank to make any Revolving Loan on any Disbursement Date or to issue any Letter of Credit, including, but not limited to, the Disbursement Date or of the date of the issuance of a Letter of Credit, whichever occurs first, are subject to the occurrence, prior to or on the Disbursement Date related to such Revolving Loan or the issuance date of such Letter of Credit, whichever occurs first, of each of the following conditions, any or all of which may be waived in whole or in part by the Bank in writing:
