Conditions Precedent to the Obligations of the Agents. (a) The right of the Company to deliver a Placement Notice hereunder, the obligation of an Agent to use its commercially reasonable efforts consistent with its normal trading and sales practices to sell Securities in accordance with the terms of such Placement Notice (as amended by the corresponding Acceptance, if applicable) or to purchase the Securities pursuant to any Terms Agreement are subject to the continuing accuracy of the representations and warranties of the Company contained in this Agreement or certificates of any officer of the Company delivered pursuant to the provisions hereof, the performance by the Company of its covenants and obligations hereunder and/or under any Terms Agreement, as the case may be, and the satisfaction, on the applicable Settlement Date, of each of the following conditions, except to the extent waived by the applicable Agent, in its sole discretion:
