Conditions Precedent to the Obligation of the Purchasers to Purchase the Units or Convert Notes. The obligation hereunder of each Purchaser listed on Schedule A-1 to acquire and pay for the Units, and for each Purchaser listed on Schedule A-2 to convert Notes, is subject to the satisfaction or waiver, at or before the applicable Closing, of each of the conditions set forth below. These conditions are for each Purchaser’s sole benefit and may be waived by such Purchaser at any time in its sole discretion.
