Conditions Precedent to Effectiveness of the Amendment and Restatement of this Agreement. The amendment and restatement of this Agreement as of the Effective Date shall become effective when (i) it shall have been executed by the Borrower, the Administrative Agent and JPMorgan, in its capacity as Administrative Agent under this Agreement immediately prior to the effectiveness of the amendment and restatement of this Agreement, (ii) the Administrative Agent and the Borrower either shall have been notified by each Initial Lender that such Initial Lender has executed it or shall have received a counterpart of this Agreement executed by such Initial Lender, and (iii) the Administrative Agent shall have received the following, each dated the date of delivery thereof unless otherwise specified below (which date shall be selected by the Borrower and be the same for all documents and all Lenders), in form and substance satisfactory to the Administrative Agent and (except for the Notes, if any) in sufficient copies for each Lender:
