CONDITIONS PRECEDENT TO CLOSING AND ADVANCES. The Authority and IGU shall be obligated to consummate the Closing in accordance with the terms of this Financing Agreement only if each of the following conditions precedent has been satisfied in full at or before the Closing Date, unless waived in writing by both the Authority and IGU, in their sole discretion, respectively. The Authority shall have no obligation to make any advances under the Term Loan unless each and every material requirement and condition of this Financing Agreement, including those set forth in this Section 7 and elsewhere in this Financing Agreement, is satisfied or waived.
